Terms of Service

1. Acceptance of Terms

By accessing or using the Pedal platform (the "Service") operated by Pedal LLC ("Pedal," "we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Pedal LLC. If you do not agree to all of these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Pedal is an AI-powered platform that enables Google Workspace users to build automations and web applications. Pedal uses artificial intelligence to generate Google Apps Script code, which is then deployed to your Google account. The Service requires a Google account and authorization to access certain Google APIs on your behalf. Pedal relies on third-party services including Google APIs, OpenAI, and Stripe, and the availability and functionality of the Service depends on the continued operation and compatibility of these third-party services.

3. Account Registration

  • You must sign in with a valid Google account to use the Service.
  • You are responsible for maintaining the security of your account and for all activities that occur under your account.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you are between 13 and 18, you may only use the Service with parental or guardian consent.
  • You agree to provide accurate information and keep it up to date.
  • You must promptly notify Pedal of any unauthorized use of your account.

4. Google Account Authorization

By using the Service, you authorize Pedal to access your Google account with the permissions you grant during the OAuth flow. This includes the ability to:

  • Create, read, and manage Google Apps Script projects
  • Create and manage deployments of Apps Script projects
  • Access, create, and modify Google Drive files (Sheets, Docs, Forms) that you attach or that Pedal creates on your behalf

You may revoke these permissions at any time through your Google Account settings. Revoking permissions will prevent Pedal from managing your existing builds. Pedal is not responsible for any disruption to your builds or automations caused by revoked permissions.

5. Subscriptions and Billing

  • Access to the Service requires an active subscription plan.
  • Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
  • Free trials, where offered, require a valid payment method. You will be charged at the end of the trial period unless you cancel beforehand.
  • Free trial plans have reduced token limits (100,000 tokens per month).
  • All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
  • Pedal reserves the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide reasonable notice before any increase.
  • You can manage your subscription and cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
  • Refunds are handled on a case-by-case basis at Pedal's sole discretion. Contact us for refund requests.

6. Usage Limits

Each subscription plan includes monthly limits on AI token usage and total limits on the number of builds you can create. When you exceed these limits, you will be unable to create new builds or make modifications until the next billing cycle (for tokens), or until you upgrade your plan. Pedal reserves the right to modify usage limits at any time with reasonable notice.

7. AI-Generated Content and Limitations

You acknowledge and agree to the following regarding AI-generated content:

  • The Service uses artificial intelligence (including third-party AI models) to generate Google Apps Script code based on your prompts and inputs.
  • AI-generated code is provided "as is" without any warranty. AI technology is inherently imperfect and may produce code that is incorrect, incomplete, insecure, inefficient, or unsuitable for your intended purpose.
  • You are solely responsible for reviewing, testing, validating, and auditing any code or builds created through the Service before using them in any environment, especially production environments.
  • AI-generated code may contain bugs, security vulnerabilities, logic errors, or unexpected behaviors. Pedal does not guarantee that generated code will function correctly, securely, or as intended.
  • Pedal is not responsible for any damages, losses, data breaches, security incidents, or other harm resulting from AI-generated code, including but not limited to financial losses, data corruption, data exposure, unauthorized access, or business interruption.
  • You should not rely on AI-generated code for critical systems, financial calculations, medical applications, safety-critical systems, or any use case where errors could cause significant harm without thorough independent review and testing.
  • AI outputs may vary and are not deterministic. The same prompt may produce different results at different times.
  • You own the Apps Script projects and Google Drive files created through the Service. They exist in your Google account.

8. Data and Content

  • Your Content: You retain ownership of any content you provide (prompts, attached files) and the resulting Apps Script projects created in your Google account.
  • License to Pedal: You grant Pedal a limited, non-exclusive, worldwide license to process, transmit, and temporarily store your content as necessary to provide the Service, including transmitting portions of your content to AI processing providers (currently OpenAI).
  • Data Loss: While Pedal takes reasonable precautions, we do not guarantee against data loss. You are solely responsible for maintaining backups of your important data, files, and code. Pedal shall not be liable for any data loss, corruption, or destruction, whether caused by system failures, bugs, third-party service outages, or any other reason.
  • Third-Party Processing: Your prompts and attached file content are transmitted to third-party AI providers (currently OpenAI) for code generation. By using the Service, you consent to this processing. Pedal is not responsible for how third-party providers handle data in accordance with their own policies.
  • No Persistent Storage of File Contents: Pedal does not permanently store the contents of your Google Drive files. File content is accessed temporarily during your session for AI processing purposes only.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Generate malicious code, malware, phishing tools, or scripts intended to harm, exploit, or defraud others
  • Attempt to gain unauthorized access to other users' accounts, data, or systems
  • Abuse, circumvent, or manipulate usage limits, billing, or any technical measures
  • Use the Service in a way that could damage, disable, overburden, or impair it
  • Resell, redistribute, sublicense, or provide access to the Service to third parties without authorization
  • Use the Service to process or store sensitive personal information (such as health data, financial account numbers, or government-issued identifiers) unless you have independently ensured compliance with all applicable laws and regulations
  • Use the Service to build applications that violate Google's Terms of Service or Apps Script policies
  • Reverse engineer, decompile, or attempt to extract the source code of the Service

Violation of this section may result in immediate termination of your account without notice or refund.

10. Business Plans and Teams

Business plan subscribers can invite team members to their organization. The organization administrator is responsible for managing team membership, ensuring all team members comply with these Terms, and is billed per seat. Usage limits apply per user within the organization. The organization administrator is liable for the actions of all users within their organization.

11. Intellectual Property

  • The Pedal platform, including its design, features, brand, trademarks, and underlying technology, is owned by Pedal LLC and is protected by intellectual property laws.
  • You retain ownership of any content you provide (prompts, attached files) and the resulting Apps Script projects created in your Google account.
  • You grant Pedal a limited, non-exclusive license to process your content as necessary to provide the Service.
  • You may not use Pedal's name, logo, or trademarks without prior written consent.
  • Pedal does not claim ownership of the AI-generated code deployed to your Google account.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PEDAL LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR QUALITY OF ANY AI-GENERATED CODE OR CONTENT
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES REGARDING THE AVAILABILITY OR CONTINUED OPERATION OF THIRD-PARTY SERVICES (INCLUDING GOOGLE APIS, OPENAI, AND STRIPE)

YOU USE THE SERVICE AT YOUR OWN RISK. PEDAL DOES NOT WARRANT THAT AI-GENERATED CODE WILL BE SECURE, CORRECT, OR FREE FROM DEFECTS. YOU ARE SOLELY RESPONSIBLE FOR ANY CONSEQUENCES ARISING FROM THE USE OF AI-GENERATED CODE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEDAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • DAMAGES ARISING FROM OR RELATED TO: AI-GENERATED CODE (INCLUDING BUGS, SECURITY VULNERABILITIES, OR ERRORS); DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS; INTERRUPTION OR UNAVAILABILITY OF THE SERVICE; ACTIONS TAKEN BY THIRD-PARTY SERVICES (INCLUDING GOOGLE, OPENAI, OR STRIPE); UNAUTHORIZED ACCESS TO YOUR ACCOUNT; OR ANY OTHER MATTER RELATING TO THE SERVICE

IN NO EVENT SHALL PEDAL LLC'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNTS YOU ACTUALLY PAID TO PEDAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PEDAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Pedal LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of the Service or any AI-generated code, automations, or web applications created through the Service
  • Any code, application, or automation you deploy, publish, distribute, or make available to third parties using the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your infringement of any third-party intellectual property, privacy, or other rights
  • Any claim by a third party arising from or related to code generated by the Service on your behalf
  • Your content, data, or files processed through the Service
  • Any disputes between you and your end users, customers, or other third parties related to applications built using the Service

This indemnification obligation will survive the termination of these Terms and your use of the Service.

15. Assumption of Risk

You expressly acknowledge and agree that:

  • AI-generated code carries inherent risks, including the possibility of errors, security vulnerabilities, data loss, and unexpected behavior.
  • You assume all risk associated with deploying, running, and using AI-generated code in any environment.
  • Pedal is a tool that assists with code generation — it is not a substitute for professional software development, security review, or quality assurance.
  • You are responsible for ensuring that any builds created through the Service comply with all applicable laws, regulations, and industry standards.
  • The Service interacts with your Google account and can create, modify, and deploy code that runs with your Google account's permissions. You understand and accept the risks inherent in granting these permissions.
  • All scripts, automations, and applications generated through the Service are deployed within your own Google account and operate using your Google account permissions. Pedal does not operate or control these scripts once deployed. You are solely responsible for monitoring, managing, and disabling any code deployed through your account.

16. Service Availability and Modifications

  • Pedal does not guarantee continuous, uninterrupted availability of the Service.
  • We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
  • We are not liable for any downtime, service interruptions, or changes to the Service.
  • The Service depends on third-party providers (Google, OpenAI, Stripe). Changes or outages to these services may affect the Service, and Pedal is not liable for such impacts.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination:

  • Your right to use the Service ceases immediately.
  • Apps Script projects and Google Drive files in your Google account will remain yours.
  • Pedal may delete your account data, conversation history, and project records from our systems.
  • No refund will be issued for any remaining subscription period unless required by applicable law.
  • Sections 7 (AI-Generated Content), 8 (Data), 11 (IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Assumption of Risk), 19 (Governing Law), and 20 (Dispute Resolution) shall survive termination.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and/or sending an email notification to the address associated with your account. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in the State of Utah.

20. Dispute Resolution

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Utah, and the arbitrator's decision shall be final and binding.

Class Action Waiver: YOU AND PEDAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pedal LLC regarding the Service and supersede all prior agreements, understandings, and representations. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
